These Terms and Conditions ("Terms") govern your use of the Kale app, operated by Vereant ("Company"). By using the app, you agree to be bound by these Terms. If you do not agree with these Terms, do not use the app.

1. License to Use the App

We grant you a limited, non-exclusive, non-transferable license to use the app according to these Terms. This license is for your personal and business use, subject to compliance with our policies and applicable laws.

2. User Responsibilities

You agree to use the app only for lawful purposes. You are responsible for safeguarding your account details and maintaining the confidentiality of your login credentials. Unauthorized access to your account is your responsibility.

3. Subscription and Payments

The Kale platform and mobile apps currently offer three subscription tiers: a Kale Individual plan, a Kale Team plan, and an Enterprise plan. Each of these three tiers is available in two variants: one supporting up to 300 interactions per user per month, and the other supporting up to 1000 sales interactions per user per month. The payment terms and subscription fees are detailed within the Kale app onboarding process. Payments are securely processed via Paystack, a subsidiary of Stripe.   • Automatic Renewal: Subscriptions renew automatically unless canceled at least 30 days prior to the renewal date.

  • Refund Policy: We offer a pro-rated refund for unused portions of a subscription period under certain circumstances, as outlined in our refund policy.

4. Intellectual Property

The app, its contents, and all underlying technology (including the AI engine) are the intellectual property of Vereant. You may not copy, modify, reverse-engineer, or redistribute any part of the app without our explicit consent.

5. Limitation of Liability

We are not liable for any indirect, incidental, or consequential damages arising from your use of the app, including data loss or service interruptions. Your use of the app is at your own risk.

6. Termination

We reserve the right to terminate your account if you violate these Terms or engage in unauthorized activities, such as attempting to hack the app, using the app for illegal purposes, or sharing your login credentials with unauthorized individuals. You may also terminate your account at any time by contacting us.

7. Changes to These Terms

We may revise these Terms at any time by posting an updated version in the app. Continued use of the app following such changes constitutes your acceptance of the new Terms.

8. Governing Law

These Terms are governed by the laws of the US, EU and South Africa]. Any disputes will be resolved in accordance with the legal jurisdiction of this region.

9. Limitations Of Liability

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE LESSER OF THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE SIX (6) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING OR $600.00 USD. CERTAIN US STATE LAWS AND INTERNATIONAL LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. Project Scope:

Kale - Get, Keep, Recover is an AI-powered sales management app designed to automate administrative tasks, enhance lead management, and provide intelligent coaching to sales professionals.

Roles and Responsibilities

  • Vereant (App Developer): Responsible for the development, maintenance, and continuous improvement of the Kale app. Vereant will ensure that the app remains functional, secure, and compliant with all applicable regulations.
  • Users (Customers/Clients): Users of the app will be responsible for inputting accurate data, maintaining security over their account credentials, and using the app in compliance with the Terms and Privacy Policy.

Service Level Agreement (SLA)

  • Uptime Commitment: We commit to 99.9% uptime for the Kale app, excluding scheduled maintenance.
  • Support: Users will have access to support channels via email and chat during working hours (8 AM - 6 PM, Monday to Friday). Critical issues will receive a response within 2 hours.

Data Ownership and Access

  • User Data: Users retain ownership of all sales data entered into the app. Vereant reserves the right to use anonymized data for product improvement and analytics purposes.
  • Data Access: Users can export, update, or delete their data at any time through their account settings.

Compliance

Vereant ensures that the Kale app complies with all relevant data protection laws, including GDPR, CCPA, and local regulations. We will regularly review our compliance practices to remain up-to-date with legal obligations.

Reporting and Communication

  • Feedback Loop: Users are encouraged to provide feedback on the app’s performance and suggest feature improvements. Vereant will consider feedback when planning updates.
  • Updates: All users will be notified via email or in-app announcements of major updates, new features, or changes to the service.

Risk Management

  • Security Measures: Vereant implements encryption, regular security audits, and vulnerability management to protect user data and ensure compliance with best practices.
  • Contingency Plan: In case of a data breach or service disruption, Vereant will notify affected users within 72 hours and take appropriate measures to resolve the issue.

Termination of Service

Vereant reserves the right to terminate service to any user who violates the Terms of Use. Users can terminate their accounts at any time by contacting support.
